Streetz Myestro Beats
1. Usage. **YOU ABSOLUTELY CANNOT USE THE INSTRUMENTAL COMPOSITION OF WHICH YOU ARE ATTEMPTING TO DOWNLOAD (hereinafter referred to as ‘the Beat’) FOR ANY FOR-PROFIT, COMMERCIAL, OR FINANCIALLY EXPLOITATIVE USE. AN APPROPRIATE LICENSE MUST BE PURCHASED OR PROPERLY OBTAINED IN ORDER TO EXPLOIT THE BEAT.** Acceptable use without obtaining a license (hereinafter referred to as ‘Free Use’) includes:
  • Reproduction of tangible copies of a recording on the Beat of up to 50 non-profit copies.
  • Showcasing of a recording on the Beat in a non-profit manner through an internet-based medium such as Myspace, Youtube, or a personal webpage.
  • Performing a live act on the Beat in a completely non-profit show.
  • Redistributing the Beat by itself with all filenames and credits intact (see section 2) through the internet or a tangible medium.

2. Credit. You will provide proper credit for the creation of the Beat by writing ‘Produced by Streetz Myestro’ on all official documents or surfaces released with tangible copies of a recording on the Beat. It is alternatively acceptable to credit the Beat’s direct producer’s real name or stage name for the creation of the Beat. If there are absolutely no means to provide written credit, vocal credit is required by actually recording the phrase ‘Produced by Streetz Myestro’ within the first 30 seconds of the Beat.

3. Liability. You hereby agree to indemnify, defend, and hold JAF Creative Studios/Streetz Myestro and all of our officers, directors, producers, owners, employees, agents, information providers, affiliates, and licensors (collectively, ‘JAF Creative Studios’) harmless from and against any and all liability, losses, costs, and expenses (including attorneys’ fees) incurred in connection with any claim arising out of your use of the Beat, including but not limited to claims for defamation, violation of rights of publicity and/or privacy, copyright infringement, trademark infringement, and any claim or liability relating to the content, quality, or performance of materials in relation to the Beat. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case you agree to cooperate with our defense of such claim.

4. Termination. JAF Creative Studios reserves the right to terminate this Agreement at any time or terminate your rights to use or distribute the Beat at any time for any reason.

5. Legal Consequences. Any unauthorized use of the Beat, including unauthorized reselling, is considered a direct violation of the US Copyright Act of 1976 and is infringing upon the copyrights of the works of JAF Creative Studios. Under the fullest extent of the law, JAF Creative Studios reserves the right to take legal action or pursue financial compensation as a result of any breach or violation of this Agreement.

6. Modifications. We reserve the right, at our sole discretion, to modify this Agreement and any fees, at any time, effective upon the date we post a new Agreement on the beat’s free download page. Your continued use of the Beat constitutes your binding acceptance of this Agreement, including any changes or modifications that we may make.

 

Master Recording

The Licensor hereby grants the Licensee the right to record vocal and/or instrumental synchronization to any or all parts of the Instrumental. The Licensee understands that their non-exclusive usage of the Instrumental is limited to one new composition and if the Licensee wishes to use the Instrumental in other new compositions, then the Licensee must obtain another license to use the Instrumental from the Licensor. The Licensee also agrees to refrain from editing the Instrumental that is being licensed in this agreement, by changing the arrangement of the Instrumental or by removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental.

Profitable Distribution

The Licensee is limited to distributing one (1) version of the Master Recording for profitable use. The Licensee is limited to a distribution of three thousand (3000) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media. With one year from date leased beat was purchased to distribute until having to renew lease agreement.

Ownership

The Licensor maintains 100% full rights (copyright and ownership) of the instrumental, and can continue to sell it non-exclusively and/or exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. In the event another individual purchases exclusive rights to your licensed Instrumental you will retain your non-exclusive rights under the limitations listed in this agreement and until these terms have been fulfilled.

Credit

The Licensee must give production credit to the Licensor for any and all distributed material. This can be done verbally (through recorded vocals on the Master Recording) or written in or on the CD booklet or outside cover. The Licensor reserves the right to keep an audio signature at the beginning of all non-exclusive instrumentals.

Returned Payment

The Licensee understands that if payment for this Instrumental is reversed or charged back for any reason, any rights granted under this contract will be revoked and this contract considered null and void. Any use of this Instrumental will be prohibited.

No Refunds

The Licensee understands that all sales are final, as refunds cannot be issued for intangible items.

By receiving this contract via email, you automatically agree to the terms stated above and gain non-exclusive rights to the Instrumental.

Master Recording

With one year from date leased beat was purchased to distribute until having to renew lease agreement.

The Licensor maintains 100% full rights (copyright and ownership) of the instrumental, and can continue to sell it non-exclusively and/or exclusively. The Licensee is limited to a distribution of ten thousand (10,000) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media. With one year from date leased beat was purchased to distribute until having to renew lease agreement.

Ownership

The Licensor maintains 100% full rights (copyright and ownership) of the instrumental, and can continue to sell it non-exclusively and/or exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. In the event another individual purchases exclusive rights to your licensed Instrumental you will retain your non-exclusive rights under the limitations listed in this agreement and until these terms have been fulfilled.

Master Recording

The Licensor hereby grants the Licensee the right to record vocal and/or instrumental synchronization to any or all parts of the Instrumental. The Licensee understands that their non-exclusive usage of the Instrumental grants unlimited compositions and if the Licensee wishes to use the Instrumental in other new compositions, then the Licensee does not need to obtain another license to reuse the Instrumental. The Licensee also agrees to refrain from editing the Instrumental that is being licensed in this agreement, by changing the arrangement of the Instrumental or by removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental.

Profitable Distribution

The Licensee is granted unlimited versions of the Master Recording for profitable use. The Licensee is granted unlimited distribution of copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media.

Ownership

The Licensor maintains 100% full rights (copyright and ownership) of the instrumental, and can continue to sell it non-exclusively and/or exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. In the event another individual purchases exclusive rights to your licensed Instrumental you will retain your non-exclusive rights under the limitations listed in this agreement and until these terms have been fulfilled.

Credit

The Licensee must give production credit to the Licensor for any and all distributed material. This can be done verbally (through recorded vocals on the Master Recording) or written in or on the CD booklet or outside cover. The Licensor reserves the right to keep an audio signature at the beginning of all non-exclusive instrumentals.

The Licensee understands that if payment for this Instrumental is reversed or charged back for any reason, any rights granted under this contract will be revoked and this contract considered null and void. Any use of this Instrumental will be prohibited.

No Refunds

The Licensee understands that all sales are final, as refunds cannot be issued for intangible items.

By receiving this contract via email, you automatically agree to the terms stated above and gain non-exclusive rights to the Instrumental.

 

Exclusive rights allow the Licensee to use the Instrumental for unlimited commercial recordings or broadcasts. The Licensor has full rights to record, alter, mix the Instrumental in any shape, way, or form (except reselling the Instrumental). The Licensee must give full credit to the Licensor as on all commercial recordings. Upon purchasing exclusive rights, the Licensor still owns copyright to the Instrumental but is no longer able to resell the Instrumental.

1. The Licensor expressly forbids resale or other distribution of the Instrumental, either as they exist or any modification thereof. The Licensor can not sell, loan, rent, lease, assign, remix, rearrange, remove any melodies, instruments, drum programming or transfer rights under to another user (example – Record Label, another production company, another producer), or for use in any competitive product without written consent and or another license agreement.

2. If the Instrumental includes samples, the Licensee understands that the sequence and music arrangement is considered original work. Samples may not cleared before composition, and Licensee is required seek clearance for the samples. The Licensee is responsible for clearing all samples used (if any) and that the Licensor cannot and will not be held liable for the misuse of any sampled material that the Licensee uses in conjunction with the composition/arrangement that is being licensed in this agreement.

3. Licensee must supply the Licensor with at least 1 copy of each final recording made using the Instrumental.

4. Licensee must include credits to Licensor on all physical media containing a portion or sum of the Instrumental that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Cassette tapes, Cards, Mixtapes, Websites, etc.

5. Licensee must contact and inform Licensor of CD sales if the Instrumental is used for commercial purposes with a record label with gross revenue of over $1,000,000, the Licensor must receive credit for the Instrumental, unless agreed upon otherwise by the two parties.

6. Written consent is required if the Instrumental is to be used for Radio Broadcast, Commercial Advertisement, Television Broadcast, Video Games, Internet, On-hold & In House Background Music, or film Soundtracks.

Returned Payment

The Licensee understands that if payment for this Instrumental is reversed or charged back for any reason, any rights granted under this contract will be revoked and this contract considered null and void. Any use of this Instrumental will be prohibited.

No Refunds

The Licensee understands that all sales are final, as refunds cannot be issued for intangible items.

By receiving this contract via email, you automatically agree to the terms stated above and gain exclusive rights to the Instrumental.
